These general terms and conditions of sale apply to all orders placed with KO&CO as part of its Wholesale program. By placing an order, the customer acknowledges having read, understood, and accepted all the terms and conditions below.

1. Wholesale Program Eligibility

KO&CO's Wholesale program is reserved for duly registered businesses, merchants, and professionals. KO&CO reserves the right to approve or refuse any wholesale account application, without obligation to provide justification.

2. Minimum Orders

A minimum order amount may apply to any wholesale order. Minimum order quantities, minimum quantities per product, and price tiers are communicated at the time of registration or in the commercial documents provided by KO&CO.

3. Prices and Currencies

All prices are indicated in Canadian Dollars (CAD), unless otherwise specified. Wholesale prices are confidential and reserved exclusively for authorized customers. They may be modified at any time, without prior notice. Applicable taxes (GST, QST, or others) are not included, unless otherwise specified.

4. Payment Terms

Unless otherwise agreed in writing, payment terms are as follows:

• Payment required before order shipment

• Accepted payment methods: electronic transfer or other methods approved by KO&CO

KO&CO reserves the right to suspend or cancel any order in case of non-payment or delayed payment.

5. Processing and Shipping Times

Processing times vary depending on product availability and order volume. Provided times are estimates and may vary without KO&CO incurring liability. Shipping and handling fees are the responsibility of the customer, unless otherwise indicated. Once the order is handed over to the carrier, KO&CO is not responsible for delays, losses, or damages incurred during transit.

6. Product Availability

All orders are subject to stock availability. KO&CO reserves the right to replace, modify, or withdraw a product without prior notice. In case of unavailability, the customer will be informed, and a solution will be proposed.

7. Returns, Exchanges, and Cancellations

• Wholesale sales are final, except in the case of manufacturing defects or errors by KO&CO.

• Any claim must be reported in writing within 2 days of receipt of merchandise.

• No returns, exchanges, or refunds will be accepted without prior authorization from KO&CO.

Items returned without authorization will not be accepted.

8. Defects and Compliance

The customer must inspect the merchandise upon receipt. Any non-conformity or visible damage must be reported as soon as possible. KO&CO's liability is limited, if applicable, to replacing the defective product or issuing a credit.

9. Use of Brand and Visuals

Logos, images, product descriptions, and any other content belonging to KO&CO remain the exclusive property of the company. Any use for marketing or commercial purposes must be approved in advance by KO&CO.

10. Liability

KO&CO shall not be held liable for any indirect damage, loss of profits, or commercial prejudice arising from the use or resale of the products. KO&CO's liability is strictly limited to the value of the order concerned.

11. Confidentiality

Commercial information, wholesale prices, and preferential conditions are confidential and must not be shared with third parties without the written authorization of KO&CO.

12. Modifications to Terms and Conditions

KO&CO reserves the right to modify these terms and conditions at any time. The applicable conditions are those in effect at the time of the order.

13. Governing Law

These conditions are governed by the laws in force in the province of Quebec, Canada. Any dispute will be submitted to the competent courts of Quebec.
